Terms of Service

These Terms of Service ("Terms") form a binding agreement between Common Light Labs, LLC ("Company," "we," "our") and any individual or entity ("you") that purchases, accesses, or uses the Porch Light Labs Prompt Optimizer (the "Service") available at https://porchlightlabs.com (the "Site").

By purchasing a license or by accessing the Service you agree to these Terms.

1. The Service

1.1 Description

The Service converts user-supplied text into structured prompts for AI design tools.

1.2 Hosting

The Service is hosted by the Company; only remote access is provided.

1.3 OpenAI Key

All API calls are executed with Company credentials; Bring-Your-Own-Key is not supported.

1.4 No Service Level Guarantee

The Service is provided without any service level agreement or guaranteed availability. We may suspend or limit access for maintenance, technical issues, or at our discretion without liability.

2. License Grant & Credits

2.1 Single-User License

Upon payment the Company grants you a personal, non-exclusive, non-transferable, revocable license to use the Service. Each license key may be activated by one natural person at a time and may not be shared concurrently.

Each license is valid until the earlier of (a) exhaustion of Credits or (b) twelve (12) months from purchase, after which both the license and any remaining Credits expire.

2.2 Credit Packs

Each license includes a fixed, non-rechargeable pool of optimization calls ("Credits"):

Prices exclude tax and are subject to change for new purchases.

2.3 Exhaustion & Renewal

When all Credits are used, the license ceases to function; you may obtain additional Credits only by purchasing a new license key on Gumroad.

2.4 Expiry

Unused Credits expire twelve (12) months after the purchase date.

3. Rate Limiting & Burst Controls

To maintain service stability the Service enforces per-license rate limits with burst protection:

Requests exceeding the base limit may use burst allowance for legitimate usage spikes. Requests exceeding burst limits receive HTTP 429 responses.

Rate limits may be adjusted at our discretion to maintain service stability.

4. Payment & Refunds

4.1 Processor

All fees are collected via Gumroad, Inc. and are additionally governed by Gumroad's terms.

4.2 No Refunds After Activation

Because Credits are prepaid API calls, all sales are final once a license key is activated.

By activating your license you acknowledge that you lose any right of withdrawal or cooling-off period to the extent permitted by applicable law.

4.3 Taxes

The Processor will collect applicable taxes where required.

5. Intellectual-Property Rights

5.1 Company IP

The Service, system prompts, software, and documentation are proprietary to the Company.

5.2 Output Ownership

Subject to Section 6, you own the textual outputs generated from your inputs.

You may use such outputs for any lawful personal or commercial purpose.

5.3 Product Name

"Porch Light Labs" is used as a product name for the Company, Common Light Labs, LLC.

6. Acceptable Use

You agree not to:

  • upload illegal, infringing, or personal-data-rich content;
  • probe, penetrate, or test the Service for vulnerabilities;
  • circumvent usage or burst limits;
  • resell or sublicense the Service without written permission;
  • reverse-engineer or copy the Service;
  • use the Service to create outputs for medical diagnosis, financial advice, legal determinations, or other regulated activities without qualified human review.

7. Data & Privacy

7.1 Transient Storage

Inputs and outputs are retained only long enough to deliver the response.

7.2 Metadata

We store license ID, timestamp, and remaining Credit count for quota enforcement and support.

7.3 User Responsibility

You must not input personal data unless you have lawful grounds to do so.

7.4 No Model Training

Inputs and outputs are not used to train our models or any third-party models.

8. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED OUTPUT MAY BE INACCURATE; YOU MUST REVIEW BEFORE RELYING ON IT.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR LICENCES IN THE PRECEDING TWELVE (12) MONTHS. THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

10. Indemnification

You will indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any third-party claim, demand, or liability (including reasonable attorneys' fees) arising out of: (a) your misuse of the Service, (b) violation of these Terms, or (c) infringement arising from content you submit.

11. Termination

We may suspend or terminate your licence immediately upon material breach, abuse, or exhaustion of Credits. Unused Credits are forfeited on termination.

12. Dispute Resolution & Arbitration

12.1 Informal Resolution

Contact us first at support@commonlightlabs.com; we will attempt to resolve disputes informally within thirty (30) days.

12.2 Binding Arbitration

If unresolved, any dispute shall be finally settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

12.3 Venue & Governing Law

The arbitration shall occur in Montgomery County, Texas, USA, or remotely by mutual consent, and Texas law governs these Terms.

12.4 Class-Action Waiver

Arbitration shall be conducted on an individual basis; class actions and class arbitrations are not permitted.

12.5 Injunctive Relief

Nothing in this clause prevents either party from seeking injunctive relief in a court of competent jurisdiction for misuse of IP or breach of confidentiality.

13. Changes to Terms

We may modify these Terms with thirty (30) days' advance notice on the Site. Continued use after the effective date constitutes acceptance.
